1. Agreement to Terms

By accessing or using SiteAgent ("Service"), operated by SiteAgent ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SiteAgent is an AI-powered chatbot platform that enables users to create, train, and deploy intelligent chatbots on their websites. The Service includes:

  • AI chatbot creation and configuration
  • Knowledge base training from URLs, documents, and other content sources
  • Embeddable chat widget for websites
  • Visitor conversation analytics and lead scoring
  • Webhook integrations and API access
  • Team and organization management

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Subscriptions and Billing

SiteAgent offers premium subscription plans with country-based trial periods. Paid plans are billed monthly (or as configured) through supported third-party payment processors such as Razorpay and Stripe. By subscribing to a paid plan, you agree to pay all applicable fees.

  • Free trial: New accounts receive a country-based premium trial period (default: India 30 days, outside India 14 days), unless changed in plan settings.
  • Recurring billing: Paid subscriptions automatically renew unless cancelled before the renewal date.
  • Cancellation & refunds: Refer to our Cancellation & Refund Policy.
  • Price changes: We may change subscription pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. AI Provider API Keys (BYOK)

SiteAgent supports a Bring Your Own Key (BYOK) model. You may connect your own API keys from supported AI providers (e.g., OpenAI, Anthropic, Google, Groq). You are solely responsible for:

  • Compliance with each AI provider's terms of service and usage policies
  • Any costs incurred through your API key usage
  • Keeping your API keys secure and confidential

We store your API keys securely and use them solely to power your chatbot conversations. We do not share your keys with third parties.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Generate or distribute harmful, misleading, defamatory, or illegal content
  • Infringe on intellectual property rights of any party
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with or disrupt the Service or other users' use of the Service
  • Use the Service to send spam or unsolicited messages
  • Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SiteAgent and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of all content you upload to or create through the Service, including knowledge base content and chatbot configurations.

8. Data and Content

You are responsible for the content you provide to the Service, including knowledge base materials and chatbot instructions. You represent that you have the right to use all content you upload.

We process chatbot conversations between your chatbot and your website visitors to provide the Service. Please refer to our Privacy Policy for details on how we handle data.

9. Widget and Embedding

By embedding the SiteAgent chat widget on your website, you are responsible for disclosing to your visitors that they are interacting with an AI chatbot and for complying with all applicable privacy and data protection regulations in your jurisdiction.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated chatbot responses will be accurate, complete, or appropriate
  • The Service will meet your specific requirements

You acknowledge that AI-generated content may contain inaccuracies and should not be relied upon as the sole source of critical information.

11. Limitation of Liability

To the maximum extent permitted by law, SiteAgent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profit, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless SiteAgent, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. You may export your data before termination upon request.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SiteAgent operates, without regard to conflict of law provisions.
